How do you prepare a code of conduct for your team?

Can someone give me some guidelines on how to prepare a code of conduct for the project team? Is the project manager responsible for creating this code of conduct? If not, then who is?

Codes of conduct can be developed at many different levels of an organization.  For example, the HP Way was developed at the executive level by Hewlett and Packard.  There is a very interesting article about the development of a code of conduct at About.com: http://humanresources.about.com/od/glossaryc/qt/code-of-conduct.htm .

My suggestion would be to start with the PMI Code of Ethics and Professional Conduct (which can be found at http://www.pmi.org/About-Us/Ethics/~/media/PDF/Ethics/ap_pmicodeofethics.ashx) and consider how you might extend that to your project team.  You may also consider any special circumstances dictated by your industry or company.  For example, while working as a project manager at a Las Vegas casino, I had to agree not to gamble at any of the company's properties in Las Vegas or elsewhere.
